GCM signs 24-month thermal deal with Shenzhen ALVC

GCM has signed a binding 24-month joint development agreement with Shenzhen-based thermal management company ALVC to develop a cooling product for data centres and other electronics markets.

The product will combine ALVC's vapour chamber design with GCM's VHD heat sink technology. The deal marks a third-party selection of GCM's VHD technology and positions GCM as the exclusive supplier of VHD heat sinks used in any jointly developed product, subject to later commercial terms and purchase orders.

The partnership comes as cooling faces growing scrutiny in the build-out of data centres and artificial intelligence infrastructure. Operators are dealing with rising electricity and water use, and cooling systems account for a large share of both in many facilities.

Demand for thermal management products is growing across data centres, high-performance computing, electric vehicles, communications infrastructure and industrial electronics. GCM has also been expanding into AI server and hyperscale data centre markets.

Under the agreement, the companies will work on concept and interface design, thermal simulation, prototype manufacture, mechanical integration, testing, customer demonstrations and production readiness. Testing requirements and acceptance criteria must be agreed in writing before relevant work begins.

A successful prototype will not require either party to proceed to a commercial launch. They must first negotiate a separate commercial agreement covering product pricing, forecasts, minimum order quantities, payment terms, warranty allocation, margins and post-launch exclusivity conditions.

GCM has not attached any revenue guidance or financial impact to the agreement. No binding production volumes, minimum orders or customer orders have been agreed.

ALVC will lead sales discussions, pricing proposals and pipeline management unless the companies agree otherwise. It must buy the required VHD heat sinks from GCM and cannot replace them with a third-party equivalent without GCM's consent.

For GCM, the structure provides a route into markets where ALVC already has manufacturing capacity and an established customer base. Founded in 1998, ALVC operates from Shenzhen with manufacturing in Dongguan and says it serves about 600 customers across the United States, Europe, the Middle East, South Korea, Japan and other markets.

Its product portfolio includes aluminium vapour chambers, liquid cooling plates, heat pipes, heat exchangers and related thermal components. These are used in electronics, medical devices, communications infrastructure, energy storage, new-energy vehicles, aerospace and defence, as well as data centres and high-performance computing.

ALVC selected the VHD heat sink after identifying potential advantages over conventional aluminium heat sinks, including heat dissipation, weight and thermal efficiency.

Those characteristics matter in data centres, where cooling equipment affects both operating costs and site design. As computing density rises with AI workloads, operators are weighing alternatives to traditional cooling approaches that rely heavily on energy and water.

Commercial pathway

The companies have established parallel technical and commercial workstreams under the agreement. Each will appoint project and commercial leads, and both will review prototypes, test results and any design changes needed before manufacturing.

Intellectual property ownership has also been defined at the outset. Each party will retain ownership of its existing intellectual property. Project intellectual property linked solely to the vapour chamber or ALVC manufacturing will belong to ALVC, while project intellectual property linked solely to the VHD heat sink, VHD materials or GCM manufacturing will belong to GCM.

Any intellectual property linked to the integrated interface or configuration will be jointly owned and may be used only for the project and product unless both sides agree otherwise in writing. The agreement also includes confidentiality, non-circumvention and anti-reverse-engineering provisions covering GCM's materials, technology and manufacturing processes.

The exclusivity provisions apply for the term of the agreement and cover the protected product design and substantially similar combinations of an ALVC vapour chamber and a GCM VHD heat sink worldwide. Carve-outs apply to standard products, pre-existing customers and independently developed products that do not use the other party's confidential information or intellectual property.

Either party may terminate the agreement for material breach, insolvency or certain serious compliance, confidentiality, intellectual property or exclusivity breaches. The agreement may also end if the companies conclude the product is not technically or commercially feasible, cannot meet agreed customer requirements, cannot be manufactured at acceptable quality or cost, or if they fail to agree commercial terms after an escalation process.

GCM Chief Executive Officer and Managing Director Clinton Booth said: "This JDA and the further commercial agreement to be reached under it formalises a clear technical and commercial pathway with ALVC for an integrated product that combines complementary thermal management technologies."

He added: "Importantly, the agreement preserves GCM's ownership of its VHD technology and establishes GCM as the exclusive supplier of VHD heat sinks used in the jointly developed product, subject to the commercial terms and purchase orders to be agreed.

"ALVC brings established manufacturing capability, a broad customer base and proven reach across international markets and high-growth sectors. We see this partnership as a meaningful step in GCM's commercialisation strategy, embedding VHD within an integrated product, supported by a partner with established scale and distribution.

"Our immediate focus is technical execution, including finalising the development plan, producing prototypes and validating the integrated design. Commercial launch and revenue will remain dependent on successful development and agreement of separate commercial terms, with no current assurance that commercialisation will occur, but the JDA provides a disciplined framework to progress that work."

ALVC Chief Executive Officer Riken Lee said: "We have reached a performance ceiling with aluminium heat sinks and with this JDA we aim to bring together ALVC's vapour chamber design and manufacturing capability with GCM's VHD heat sink technology.

"Our teams are now focused on finalising the development plan, integrating and testing prototypes and evaluating customer applications."
