CommScope becomes Vistance after cable sale to Amphenol
CommScope has completed the sale of its Connectivity and Cable Solutions business to Amphenol and will rename the remaining company Vistance Networks.
The deal shifts ownership of the CommScope name and brand to the Connectivity and Cable Solutions unit under Amphenol. Vistance Networks will hold two remaining businesses. They are Access Networks Solutions, which will be rebranded as Aurora Networks, and RUCKUS Networks.
The company said it plans to use sale proceeds to pay down liabilities. It said it will repay all outstanding debt and redeem all preferred equity held by Carlyle after paying fees and expenses related to the transaction.
It said it will add modest leverage to the remaining business. It said it expects to have significant excess cash after that change.
Shareholder payout
CommScope said it expects to distribute excess cash to shareholders as a dividend within 60 to 90 days of the transaction closing. The company said the dividend is expected to be no less than USD $10 per share. It said it will decide the exact amount and timing after taking into account all relevant factors.
CommScope shares will begin trading as VISN on the Nasdaq exchange on January 14, 2026, the company said. The corporate name change to Vistance Networks takes effect on the same day.
The company had announced a definitive agreement for the sale on August 4, 2025. It did not disclose financial terms for the transaction in its announcement.
Portfolio focus
Vistance Networks will act as the parent company for Aurora Networks and RUCKUS Networks. CommScope said it sees a more focused portfolio after the divestiture.
Aurora Networks will take the place of the Access Networks Solutions segment name. CommScope said Aurora Networks provides access network solutions for service providers. It cited hybrid fibre-coaxial and broadband network products.
RUCKUS Networks develops networking products for Wi‑Fi, switching and cloud-managed platforms, according to the company. It described these as "purpose-driven networking solutions" and said the portfolio serves demanding environments.
Businesses across telecoms and networking have seen repeated portfolio reshuffles over the past decade, as suppliers respond to shifting demand from service providers and enterprise customers. The sale moves CommScope's cable and connectivity assets into Amphenol's portfolio, while leaving Vistance focused on access networks and wireless local area networking products.
"CommScope has a long history as an industry leader in networking solutions across a broad portfolio," said Chuck Treadway, CEO, CommScope.
"With the sale complete, CCS is positioned to do well under Amphenol, and RUCKUS Networks and Aurora Networks will continue to execute a clear vision on next-generation solutions. As the world's foremost authority in access network and purpose-driven network solutions, we will move forward with the same commitment to design and deliver intelligent solutions with the same level of experience and service that our customers and partners have come to expect and trust," said Treadway.
The company said Evercore acted as financial adviser and Alston & Bird acted as legal adviser.
