PentenAmio merger targets secure global cyber defence growth
Penten from Australia and Amiosec from the United Kingdom have completed a merger to form PentenAmio, a provider of sovereign cybersecurity and electronic warfare technologies for defence and government clients.
PentenAmio now comprises approximately 300 security-cleared professionals and operates sovereign facilities in both Australia and the UK, with a customer base spanning Allied nations. The business delivers proprietary digital security technology for secure classified mobile communications and AI-enabled defence aimed at protecting sensitive information and supporting active defence against sophisticated cyber threats.
The merged entity expects to generate more than AUD $125 million in annual revenue, supported by high growth rates and strong gross profit and EBITDA margins. This financial position, according to the companies, allows PentenAmio to increase investment in research and development, workforce talent, and international market reach.
Adrian Cunningham, Executive Co-Chair of PentenAmio, said: "This merger will help us provide our customers with the agility and innovation which they need, wherever they are in the world. By joining forces we give ourselves, our nations and their allies access to an unrivalled breadth and depth of expertise across secure communications and beyond."
PentenAmio holds proprietary technology IP that aims to offer national security customers an asymmetric advantage. Its scalable encryption and deception solutions are sovereign-certified and in active use by more than 20 national security and defence agencies in the UK, Australia, and Canada. The company is also extending its presence into NATO-aligned countries.
The firm's AltoCrypt mobility platform allows secure, sovereign mobile access to classified networks across multiple device types. Its AI-powered deception suite, including TrapRadio, is designed to add realism and adversary confusion for defence operations and training.
PentenAmio's leadership includes Matthew Wilson and Adrian Cunningham as Executive Co-Chairs. Sarah Bailey, previously Chief Financial Officer at Penten, has been named CEO of PentenAmio Australia. Matt Thomas, joining the company from NCC Group, has been appointed CEO of PentenAmio UK. Both appointments are effective immediately. Greg Barsby, former CEO of Penten, will step down but is set to remain with the new company as a strategic adviser.
Sarah Bailey commented: "This is a strategic union of two high-performing businesses with shared values and complementary technologies. We are now uniquely positioned to deliver the future of secure mobility and cyber defence — at speed, at scale, and with sovereign assurance."
Matthew Wilson, Executive Co-Chair, added: "This is a moment of global inflection. Rising geopolitical tension and increasing digital threats demand transformative technology responses. PentenAmio is purpose-built to meet this demand leveraging scalable, sovereign deep tech solutions."
Wilson also noted recent incidents illustrating the risks of consumer messaging apps within government contexts, saying, "We've built our technologies not just on convenience, but on control, assurance, and mission readiness. PentenAmio is helping governments move beyond compromise — ensuring that classified work stays protected, mobile, and sovereign."
PentenAmio is serving a market in which governments, especially across Europe and the Indo-Pacific, are seeking technology partners who can deliver certified and rapidly deployable security solutions. The company is present in both the UK and Australian cybersecurity and defence sectors, and plans further expansion into broader Allied and NATO-aligned markets.
The merger is supported by a significant investment from existing shareholders, including Five V Capital, which remains a minority shareholder. PentenAmio will continue to explore opportunities for strategic partnerships and entry into additional NATO and Five Eyes countries.
